1. The Board of Directors

Role of the Board

Our governance structure is led by a Board of Directors comprising ten members. Each board member brings a diverse range of skills and knowledge to the organisation. The Board plays a crucial role in overseeing and monitoring the performance of our management team through regular Board Meetings and a Committee system.

To fulfil its governance responsibilities, the Board formulates comprehensive strategies and establishes policies that align with our mission and objectives. They provide supervisory guidance to our Chief Executive and the management team, ensuring accountability and maintaining effective internal control systems. The Board also sets parameters within which the management team operates, fostering a framework for decision-making and organisational success.

In addition, the Board receives reports from various sub-committees that have been delegated authority to oversee specific areas of concern. This delegation of authority allows for a more focused and detailed examination of pertinent issues, enabling the Board to make informed decisions.

Through this governance structure, IHKSports ensures transparency, robust oversight, and effective management of the organisation to fulfil our mission and serve our beneficiaries.

Board Activities

Our Board members have demonstrated a strong commitment to IHKSports affairs and they are well aware that they are expected to have a sufficient time commitment to the Board. Our Board members disclose twice a year to IHKSports the number, identity and nature of offices held in Hong Kong or organisations and other significant commitments to ensure there is no conflict of interest.

Board Meeting & Annual General Meeting 

The Board met six times in 2023, including one off-site strategy session. Average attendance at Board meetings was 94%. All Directors attended Board meetings in person or through electronic means of communication during the year.

Our last Annual General Meeting (AGM) was held successfully on 21 December 2023. During the AGM, our Chief Executive and Directors presented the annual financial statements and key operational highlights. It provided an opportunity for the attendees to ask questions and provide feedback. The successful AGM was an important milestone, underscoring our commitment to transparent and accountable governance.

Sustainability is a key focus for us, and we ensure that all our actions align with long-term success. We firmly believe that acting with probity, transparency, and accountability is essential in achieving our objectives. Our ultimate goal is to expand our reach and impact, increasing the number of beneficiaries who can experience the transformative power of sports and health development. The Board at IHKSports is committed to fostering continuous improvement in the realm of corporate governance. They actively seek opportunities to enhance our governance practices and promptly address any identified areas for improvement.

Risk Management Report

IHKSports has implemented a robust three lines of defense model to ensure effective risk management and assurance. This model delineates the roles and responsibilities of different functions within the organisation.

Three Line of Defense Model

The First Line

The first line of defense comprises our operational teams who own and manage risks within their respective areas. They are responsible for identifying, assessing, and mitigating risks as an integral part of their daily activities. By embedding risk management into their operations, they play a vital role in safeguarding the organisation.

The Second Line

The second line of defense supports the first line by providing expertise and guidance in risk management. They assist in developing risk frameworks, policies, and control processes. This function ensures that risk management practices are consistent across the organisation and aligned with industry best practices.

The Third Line

The third line of defense, represented by our Audit function, provides independent assurance. This function operates with a high degree of independence and objectivity. They conduct audits, assess controls, and provide assurance on the effectiveness of risk management processes and internal controls. Their role is to provide an unbiased evaluation of the organisation’s risk management practices.

By adopting this three lines of defense model, IHKSports aims to establish a strong risk management framework, ensuring accountability, transparency, and effective governance throughout the organisation.

The Board, in collaboration with the Risk and Compliance Committee, exercises ongoing oversight of the organisation’s risk register and internal control system. This ensures that risks are identified, assessed, and managed effectively. We were able to strengthen our risk and compliance efforts by leveraging pro bono legal services. As an organisation focused on the welfare and safety of children, safeguarding is a top priority for IHKSports and this has continuously ranked as the top risk. We have proactively developed a comprehensive children protection system that encompasses established policies, processes, and procedures. These measures are implemented across all relevant coaches and staff involved in our coaching activities.

One example of our commitment to safeguarding is the stringent vetting process we have in place for our coaches. All coaches undergo a thorough Sexual Conviction Record Check with the Hong Kong Police Force. This check ensures that our coaching team is free from any relevant convictions, providing an additional layer of protection for the children under our care. Coaches who will come into contact with children and youth, and all IHKSports’ full-time staff are required to attend a 5-hour online child safeguarding course via our learning platform.

By implementing these measures, IHKSports strives to create a safe and secure environment for all children participating in our sports programs. We are dedicated to maintaining the highest standards of child protection and continuously review and enhance our policies and procedures to ensure their effectiveness.

Whistle-blowing Policy

At IHKSports, we have implemented a whistle-blowing policy to address any concerns related to fraudulent or unethical acts, as well as non-compliance with laws and IHKSports’ policies. This policy is designed to handle situations that could potentially have significant adverse financial, legal, or reputational impacts on our organisation.

The whistle-blowing policy is subject to an annual review by our dedicated Risk and Compliance Committee. This ensures that the policy remains up-to-date and effective in addressing emerging risks and concerns.

We have established a whistle-blowing channel that is accessible to all members of our organisation, including staff, parents, students, and the general public. This channel provides a secure and confidential platform for individuals to report any suspected wrongdoing or breaches of our policies. We encourage open and transparent communication, and we take all reports seriously.

At IHKSports, we are committed to maintaining a strong ethical culture and ensuring that any potential issues are addressed promptly and appropriately. Our whistle-blowing policy and accessible channel contribute to our commitment to accountability, transparency, and the well-being of our organisation and stakeholders.

Anti-corruption

Our Anti-Money Laundering Policy sets out the policy on conflicts of interest, competition and anti-trust, and bribery. All new employees take part in induction programmes that include anti-corruption training. Additionally, 100% of our directors were provided anti-bribery and anti-corruption training materials over the past two years.

Staff Training On Governance

IHKSports were fortunate to have KPMG provide our staff with a cyber security training session on 19 January 2023 to ensure they are aware of the latest cybersecurity threats.

3. Conclusion

Governance health check

IHKSports conducted an NGO Governance Health assessment developed by The Hong Kong Council of Social Service, in collaboration with GAME for Good Limited and the Centre for Civil Society and Governance at The University of Hong Kong. As shown in the Board Governance Health Index, IHKSports scored higher than both local participating NGOs and the reference group across all categories. The IHKSports Board has committed to annually reviewing its board governance effectiveness and identifying areas for improvement through a board health survey and performance evaluation.
